Company formation
Before you start a business, the appropriate legal form for you should first be determined. Among other things, this depends on the future field of activity of your company, the number of co-partners, the potential liability risks of the company and several tax components. We weigh up with you the advantages and disadvantages of the various legal forms under civil and tax law. Subsequently, we prepare the formation documents for you and – if necessary – take over the coordination with the notary’s office.
Legal-Housekeeping
We support companies in complying with their ongoing obligations. This includes maintaining or introducing suitable compliance structures. We will gladly take over the fulfillment of your obligations towards the transparency register. Furthermore, we attend shareholders’ meetings of your individual companies, prepare them and oversee the implementation of the resolutions passed there.
Disputes under company law
In the event of disputes under company law, we take over both the extrajudicial and judicial representation of the company, but also of individual shareholders. This includes, for example, actions for rescission and directors’ and officers’ liability before ordinary courts and arbitration tribunals.
Corporate transformations
We examine for you all possibilities of transforming your company in accordance with the Transformation Act, but also all transformation possibilities given outside the Transformation Act. We examine both the civil and tax aspects of the transformation.
Subsequently, we prepare all documents required for the respective form of transformation and – if necessary – also take over the coordination with the notary’s office and the competent commercial register for you.
